Do you train AI models on client data?

No. Client documents are not used to improve our general models, and we don't build proprietary databases from your VDR. Your competitive edge stays yours.

Is Umergence regulated?

Umergence has been FINRA-registered since 2015 and complies with GLBA / Regulation S-P financial-privacy regulations.

By accessing or using the UmergenceAI platform, you agree to these terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the UmergenceAI website, platform, or any related services (collectively, the "Service"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

UmergenceAI provides an artificial intelligence-powered platform that helps users analyze documents and information, generate insights, and interact with AI-generated content and tools. The Service may include web-based interfaces, APIs, analytics features, and related functionality. We may add, modify, or remove features from time to time.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and will comply with all applicable laws.

4. Accounts and Security

Some parts of the Service may require you to create an account.

You agree to:

Provide accurate and complete registration information
Keep your login credentials confidential
Notify us promptly of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if we suspect any violation of these Terms.

5. Acceptable Use

You agree not to misuse the Service. In particular, you must not:

Use the Service in any way that violates applicable laws or regulations
Infringe or violate the rights of others, including privacy, publicity, and intellectual property rights
Upload, transmit, or share malware, viruses, or other harmful code
Attempt to gain unauthorized access to any part of the Service or its related systems
Interfere with or disrupt the operation of the Service
Use the Service to harass, threaten, or harm another person
Use automated scripts, bots, or scraping tools without our prior written consent

We may investigate and take appropriate action (including removal of content or termination of accounts) for any suspected violation.

6. AI-Generated Content and Disclaimers

The Service uses artificial intelligence to generate responses, summaries, suggestions, and other content ("AI Outputs"). You understand and agree that:

AI Outputs may be inaccurate, incomplete, or misleading.
AI Outputs may not reflect the most current information or legal/regulatory guidance.
AI Outputs do not constitute legal, financial, investment, tax, accounting, or other professional advice.
You are solely responsible for reviewing and verifying AI Outputs before relying on them.

UmergenceAI makes no guarantees about the accuracy, reliability, or suitability of AI Outputs for any purpose. You should not rely on AI Outputs as a substitute for your own judgment or for advice from qualified professionals.

6.1 No Financial, Legal, or Investment Advice

Unless we have a separate written agreement with you that explicitly states otherwise, nothing in the Service is intended to be, or should be taken as, financial, investment, legal, or other professional advice. You are solely responsible for your own decisions and actions.

7. Our Rights

The Service, including all software, features, design, text, graphics, logos, and underlying technology, is owned by or licensed to UmergenceAI and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

7.1 Your Content

You retain ownership of any content, documents, or data you submit to the Service ("User Content"). By submitting User Content, you grant UmergenceAI a non-exclusive, worldwide, royalty-free license to use, host, store, process, and display your User Content solely as needed to provide the Service to you and maintain its functionality.

7.2 AI Outputs

Subject to applicable law, and as between you and UmergenceAI, you may use AI Outputs generated by the Service for your internal business purposes. You are responsible for ensuring that your use of AI Outputs complies with applicable laws and third-party rights.

8. Privacy and Data Use

Your use of the Service is also governed by our Privacy Notice, which explains how we collect, use, and share information about you. By using the Service, you agree that we may process your information in accordance with our Privacy Notice.

We do not use your data to train any AI models. Where we use third-party AI providers to power features of the Service, we require contractual terms that prohibit those providers from using your data to train, fine-tune, benchmark, or improve their models.

9. Cookies

We use cookies and similar technologies to operate and improve the Service, remember your preferences, and analyze usage. You can control cookies through your browser settings, but some features of the Service may not work properly if cookies are disabled.

10. Third-Party Services and Links

The Service may link to or integrate with third-party websites, tools, or services. We do not control, endorse, or assume responsibility for any third-party services or their content. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

11. Subscription, Fees, and Changes

If you purchase a paid plan:

Fees and billing terms will be presented to you at the time of purchase.
Fees are typically charged in advance on a recurring basis (e.g., monthly or annually).
Unless otherwise stated, fees are non-refundable except as required by law.
We may change our pricing or plans with reasonable advance notice.

If you do not agree to the pricing changes, you must cancel your subscription before they take effect.

12. Termination

You may stop using the Service at any time. You may also request account closure, subject to any ongoing obligations.

We may suspend or terminate your access to the Service, with or without notice, if we believe you have breached these Terms, created risk or possible legal exposure for us or others, or for any other reason in our discretion.

Upon termination, provisions that by their nature should survive (such as ownership, disclaimers, limitations of liability, and dispute resolution) will continue to apply.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMERGENCEAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that AI Outputs will be accurate or meet your requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMERGENCEAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to indemnify and hold harmless UmergenceAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement or violation of any third-party rights.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. If changes are material, we will provide additional notice (for example, by posting a notice on our website or sending you an email). Your continued use of the Service after the new Terms take effect constitutes acceptance of the revised Terms.
